3 Key Questions for Addressing What You Don’t Plan For"
As one of the first and youngest Fellows of the Philippine Institute of Corporate Directors (ICD), Atty. Kalaw has chaired ICD’s Family-Owned or Controlled Corporations Circle since 2007, where he was primarily responsible for creating and developing ICD’s Governance Framework for Family-Owned or Controlled Corporations. He has counseled on and taught the framework both locally and internationally, with the latter aspect particularly as a consultant to the World Bank’s International Finance Corporation. A Trustee of ICD from May 2012 to June 2020, he serves on ICD’s core faculty and presently chairs its Thought Leadership Committee. He is one of the few Filipinos who are fully certified in the Balanced Scorecard Strategic Performance Management approach by the co-founders of the process, Professors Norton and Kaplan of Harvard Business School. Accredited by the Global Reporting Initiative as the first Filipino Certified Sustainability Professional, he is also both a Certified Sustainability Practitioner and Certified Sustainability Reporting Assurer of the Institute of Certified Sustainability Practitioners.
Atty. Kalaw is the first and only Filipino to be installed as a Chartered Arbitrator as well as certified as an Accredited Mediator by the Chartered Institute of Arbitrators (CIArb) of the United Kingdom. He is also the first and only Filipino diplomate in both international commercial arbitration and mediation of CIArb and is the only Filipino CIArb Fellow in both the international arbitration and mediation disciplines. As a commercial arbitrator, he has or is presently serving as chair, member, or sole arbitrator in over 60 domestic and international tribunals that to date cumulatively involve nearly 74.3 billion Pesos in claims. He was the President of the Philippine Institute of Arbitrators (PIArb) in 2014 and 2015 respectively and then the Chair of its Board of Trustees from 2016 to 2017.
He is the Corporate Secretary of the Institute of Corporate Directors, the Center for Excellence in Governance, the Institute for Solidarity in Asia, and VKD holdings, Inc. Presently, Atty. Kalaw is an Independent Board Director of the shipping and logistics firm Gothong Southern; Board Chairman of International Association of Facilitators – Philippines; Treasurer & Board Member of KALFAM Enterprises Inc.; and Vice- President for Compliance and Board Member of First Orient Securities. He is a Trustee of the Philippine Dispute Resolution Centre and the Philippine Historical Association.
He has a Juris Doctor (2nd Honors) from Ateneo Law School, Master of Laws from Harvard Law School, an MPA (Dean’s Medal) from the National College of Public Administration & Governance of the University of the Philippines, an MBA jointly from the Kellogg School of Management and the Hong Kong University of Science and Technology, and a Master of Studies In Sustainability Leadership from the University of Cambridge. A member of the Bars of the Philippines, New York State, and the United States Supreme Court. He teaches Corporate Governance and Intellectual Property Management at the Ateneo Law School and is the Director of the Center for the Amicable Resolution of Disputes of Lyceum of the Philippines University, which delivers the first and only graduate degree in professional dispute resolution in the country.
His latest achievements include being the first Qualified Risk Director in the Philippines awarded by the Directors and Chief Risk Officers (DCRO) Risk Governance Institute.

Ms. Rossana Javier, FICD
"Fraud Risk Assessment: Important Element of Good Governance"
Rose is a teaching fellow at the Institute of Corporate Directors, where she specializes in topics related to Audit Committee and Risk Oversight. She serves as an independent director and Audit Committee chair for both a subsidiary of a publicly listed company and a property developer. Following her retirement as President and Managing Partner at PricewaterhouseCoopers Consulting Philippines in 2015, Rose now focuses on corporate governance, internal auditing, enterprise risk management (ERM), and fraud risk management as an independent consultant. She has led forensic investigations and provided expert witness testimony in an international arbitration case. Additionally, Rose lectures on enterprise risk management for a university's executive program and facilitates workshops on ERM, corporate governance, internal auditing, and fraud management.
With over 40 years of experience in audit and management consulting, Rose has distinguished herself as a leader in her field. Since 1998, she has been an active member and Past President of the Institute of Internal Auditors Philippines. Rose conducts board evaluations for publicly listed companies and has led external quality assurance reviews for internal audit functions. Her expertise also includes leading performance governance system validations for government institutions aimed at strengthening governance practices and improving service delivery.

Mr. Rex Drilon II, FICD
“The Board’s Role in the Human Capital Strategy of a Company”
Ever since his retirement from the corporate world in 2010, Rex C. Drilon II has devoted his time primarily in Governance Advocacy. He is currently the Vice Chairman and President of the Institute for Solidarity in Asia (ISA), the Vice Chairman of the Center for Excellence in Governance (CEG) and was formerly President and subsequently Chairman of the Institute of Corporate Directors (ICD).
He is also presently the Vice Chairman of the AFP Multi-Sectoral Governance Council and former Chairman of the National Advisory Group for PNP Transformation Development. Other current civil society involvements include: Governor, Management Association of the Philippines; Trustee, Justice Reforms Initiative; Co-Founder, Shareholders Association of the Philippines and Iloilo Economic Development Foundation. He is an active Executive Coach.
His previous corporate experience includes being an Independent Director of the Metrobank Group, Chairman of Keyland Corporation and C-level executive of Ortigas and Company, Ayala Land, Philippine Fuji Xerox, Jardine Davies and the FMMC Group of Companies.
Rex has written two books: Patriots on the Street and Crafting Your Own Roadmap.

Mr. Frank Numann, FICD
“Governance of Internal Audit by the Board Audit Committee”
Mr. Frank Numann brings a wide experience in areas such as Finance, Procurement, Project Management, Internal Audit, Ethics, and Compliance gained in 35 years of work in 9 different countries on all continents. This expertise is augmented by having lived in the Philippines for 16 years and being married to a Filipina. He was the first CFO of Shell Philippines Exploration in 1993, where he actively participated in the key design and investment decisions of the Malampaya project. Malampaya was special, not just because of the technical issues. Financing a $2 billion project in the 1990s, while the Philippine economy was still under IMF tutelage, was a major funding challenge. During his career, Mr. Numann's interests evolved into the areas of Internal Audit and Company Culture. Before retirement, he was Shell's global Vice President for Ethics and Compliance. His approach has always been to have profitable operations that are compliant with regulations in areas such as Bribery and Corruption, IT, Data Protection and Money Laundering. This requires a sound appreciation of key business risks and the way Management arrives at their decisions. He is an accomplished Teaching Fellow at ICD. He writes his own training material focused on sharing his experience. Lectures cover diverse areas such as Corporate Culture, Fraud, Whistleblowing and Internal Audit. He is a frequent speaker at corporate conferences and, in 2020, was the keynote speaker at the annual conference of the Institute of Internal Auditors in the Philippines. He hopes that the 2025 Master class about the governance of Internal Audit by the Audit Committee will be as successful as the 2024 one that was entitled: who is responsible for your Corporate Culture.

Dr. Donald Patrick Lim, FICD
“AI Governance and Strategy for Corporate Leaders”
Dr. Donald Patrick Lim is the President and Chief Operating Officer of DITO CME, and the Chief Innovation Officer of the Udenna Corporation. Prior to his current role, he has served in various leadership capacities in the media, advertising, and digital spaces, having been the Country CEO of Dentsu Aegis Philippines, Chief Digital Officer of ABS-CBN Corporation, Managing Director of MRM Manila, and CEO of Yehey Corporation and Media Contacts Manila. He is also serving as a reservist in the Philippine Air Force, with the rank of Lieutenant Colonel, and is now the Group Commander of the 12th Air Force Group Reserve, graduating in CGSC Class 67 as the best NRI.
Dr. Donald is a true student of management, being a product of the management program of the Ateneo de Manila University, finishing his MBA with distinction from Murdoch University, and then moved on to finished his Doctor in Business Administration from the University of Phoenix. More recently, he finished his second masters, a Master in Public Management from the Ateneo School of Government. Apart from these, Donald also has a diploma in Interior Decorating, a Diploma in Executive Management, and a Diploma in Hotel and Restaurant Management. Finally, Donald has finished Pelmanism from the Pelman Institute in Sydney, Australia.
Dr. Donald teaches Advanced Marketing and Advanced Strategic Management for the doctoral program of San Beda University, and has taught eMarketing at the graduate school of De La Salle University and the IMC program at the University of Asia and the Pacific. He was also an adjunct professor in the Asian Institute of Management and Bradford University. He now also teaches Blockchain and AI in Enderun College. He used to sit as part of the technical panel of the Commission of Higher Education, and has also been awarded the Dr. Bienvenido R. Tantoco Sr. Professorial Chair in Marketing by the Jose Rizal University.
Aside from his full time job now with Udenna, he oversees twelve other businesses of his own, and also does management consulting for up and coming brands and businesses. Dr. Donald recently jumped into the world of Web3, organizing the 1st Philippine Blockchain Week and is now serving as the founding president of the Blockchain Council of the Philippines. He is a partner in Vibrant DAO, one of the first DAOs established in Spain, and is the Chief Growth Adviser of the foremost Filipino blockchain developer BayaniChain and another Web3 pioneer Validata.
Considered one of the founding fathers of digital marketing in the Philippines, Donald has been awarded by various institutions and organizations, his most recent being awarded the The Outstanding Young Men (TOYM) Award for Community Building in Digital Media. He is the first awardee of the Agora Award for Marketing Communications by the Philippine Marketing Association, a 2015 Young Global Leader conferred by the World Economic Forum, and the only Filipino to receive the DMN 40 under 40 awarded in New York. On top of these, he was conferred Digital Marketer of the Year at the Asian Leadership Awards in Dubai, UAE by the Asian Confederation of Business, the Young Market Masters Award in Online Marketing by Mansmith and Fielders, and is the first recipient of the Digital Leader of the Future award conferred at the World Brand Congress in Mumbai, India.
He is the youngest to serve as President of the Philippine Marketing Association, the biggest gathering of marketing professionals in the Philippines. He is the founding president of the Internet and Mobile Marketing Association of the Philippines and the founder of the Creator and Influencer Council of the Philippines. He sat as a board of Governor and Vice President of the Management Association of the Philippines, and was a past board of director of the Manila Junior Chamber. Finally, Dr. Donald served as a board of Trustee and current President of Operation Smile, a non-profit, volunteer service organization that provides free reconstructive facial surgery for children with cleft lips, and a past board of trustee for the World WildLife Fund Philippines.
