Beneficial Ownership used to be treated mainly as a compliance filing issue. Today, it has become a major governance issue affecting boards, owners, family corporations, regulators, investors, and institutional trust. With the SEC’s revised Beneficial Ownership Guidelines under SEC MC No. 15, Series of 2025, companies are now expected to disclose not only who legally owns shares, but who ultimately controls, influences, or benefits from the organization.

Many Philippine corporations — especially family-owned and closely held enterprises — have ownership structures that evolved organically over decades through layered holding companies, estate arrangements, nominee relationships, and informal family practices. As companies try to comply with the new rules, boards and senior management are now facing practical questions about transparency, control, accountability, privacy, cybersecurity, and governance readiness.

This program helps directors, owners, and senior executives understand what Beneficial Ownership disclosure really means in practice — not only from a regulatory perspective, but from a governance and board oversight perspective.

Unlike highly technical legal seminars that focus mainly on forms and filing requirements, this ICD executive masterclass approaches Beneficial Ownership as a strategic governance issue. The program combines governance principles, board accountability, implementation realities, family business dynamics, cybersecurity concerns, and practical Philippine corporate experience into one integrated discussion.

Participants gain not only compliance awareness, but a deeper understanding of how Beneficial Ownership affects governance quality, institutional trust, succession planning, and long-term corporate sustainability.

The program aims to help boards, officers, senior managers, and governance professionals move beyond a purely compliance-oriented mindset and develop a more practical, governance-centered approach to transparency, accountability, and ownership oversight under the evolving regulatory environment.
